ScreenJolt Terms of Service
Thanks for signing up to ScreenJolt. We’re happy to have you on board our new entertainment platform.
But here are some things you should know before you get started:
1. Acceptance of Terms
These Terms of Service (“SJ TOS”) are between you and ScreenJolt (“SJ”). This ScreenJolt TOS governs your access to and use of the services and SJ websites (as identified by “ScreenJolt”) and which may be accessed via various existing or future media or devices (collectively, the “ScreenJolt Network”).
By submitting content to the ScreenJolt Network, you agree to be bound by this SJ TOS. Capitalised terms have the meanings ascribed in this SJ TOS, the public privacy policy or the public Terms & Conditions. ScreenJolt Network comprises a service as defined in the ScreenJolt Terms & Conditions Service. In the event of a conflict between this SJ TOS and the Terms & Conditions, the SJ TOS shall prevail.
2. Description of the service
The ScreenJolt Network provides functionality that allows selected individuals to submit original articles and other Content (including but not limited to designs, written expressions, images, illustrations, audio/visual work and/or any other works of authorship, whether or not eligible for patent, trade secret or other legal protection) to ScreenJolt to be hosted and publicly displayed on the ScreenJolt Network as we see fit.
To register as a ScreenJolt Contributor and in consideration of your use of the ScreenJolt Network, You represent that You can form a binding contract and are not a person barred from receiving the ScreenJolt Network under the laws of the United Kingdom or other applicable jurisdiction.
Once you register successfully as a “ScreenJolt Contributor” on the ScreenJolt Network, Content that you submit via the submission process (“Submissions”) is subject to the terms of the SJ TOS. In all cases, You retain ownership of Your Submissions.
The SJ TOS and other applicable terms and conditions are collectively referred to as the “Contributor Licences,” and as a reminder, these Contributor Licences are incorporated into and made part of this SJ TOS and include the right for ScreenJolt to display Your Submissions in any media for promotional uses related to ScreenJolt.
You acknowledge, consent and agree that ScreenJolt may take such action in respect of enforcement of the ScreenJolt Agreements as is referred to in the SJ TOS as being reserved to ScreenJolt to enforce those terms, for example termination of your account for violation of the ScreenJolt Agreements and access, preservation, and/or disclosure of your Registration Data and related account information, and your Submissions, if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (i) comply with legal process; (ii) enforce the SJ TOS; (iii) respond to claims that any Submissions violates the rights of third parties; (iv) respond to your requests for customer service; or (v) protect the rights, property, or personal safety of ScreenJolt, its users, and the public.
The ScreenJolt Network, including all Content and Submissions, is protected by copyright under UK. and international copyright laws. You may not publish, reproduce (except as permitted in the next sentence), transmit, participate in the sale or transfer of, create new works from, distribute, perform, display, or in any way exploit any of the ScreenJolt Network, including Content, in whole or in part. You may copy or download Content for personal, non-commercial use only, provided that You maintain all copyright notices and other restrictive notices contained on such Content. Copying or storing any Content for any non-personal use is expressly prohibited without prior written agreement.
You are reminded about your obligation to comply with the Content standards applicable to the Services and in particular, You agree not to include any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, offensive, indecent, libellous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
You further agree and acknowledge that your participation in the ScreenJolt Network is voluntary, without compensation of any kind, and will not create an employment relationship between you and ScreenJolt. You may terminate your participation in the ScreenJolt Network at any time, and ScreenJolt may, without notice terminate your participation at any time. You understand that ScreenJolt may change Content and Submission guidelines or terminate the ScreenJolt Network in its entirety at any time in its sole discretion.
3. Indemnity
You agree to indemnify and hold ScreenJolt and its subsidiaries, affiliates, officers, agents, employees, partners, and licensors harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your Content and Submissions, your use of the ScreenJolt Network, your connection to the ScreenJolt Network, your violation of the SJ TOS, or any other agreement incorporated, or your violation of any rights of another or of any applicable laws or regulations.
4. Termination
ScreenJolt may, without prior notice and at its sole discretion, immediately terminate, limit your access to, or suspend your ScreenJolt Contributor account and access to the ScreenJolt Network, for no reason or for cause which may include your breach of the SJ TOS. ScreenJolt shall not be liable to You or any third party for any termination of your account, any associated email address, or access to the ScreenJolt Network.
Termination of your ScreenJolt Contributor account includes any or all of the following: (a) removal of access to all or part of the offerings within the ScreenJolt Network, (b) deletion of your password and all related information, files, and content associated with or inside your account (or any part thereof), and (c) barring of further use of all or part of theScreenJolt Network.
Licences granted by You to ScreenJolt per this and any other agreement will remain in full force and effect.
5. Product Reviews
You agree that should You accept a retail product or other good from a manufacturer, promoter, or any individual or entity representing such product with the expectation that You will review or comment upon such product that such review or any statements made by You regarding such product will be true, accurate, and based on your personal experience. You also understand and agree that You are solely responsible for, and may be liable for, any false or misleading claims You make about the product, its manufacturer or promoter, and that You will review and adhere to any particular restrictions or guidelines regarding product reviews that are set forth by ScreenJolt. Finally, when promoting your Submission, You must clearly disclose as applicable the type and extent of your connection to the product manufacturer or promoter, and such disclosure must also comply with any terms set forth by ScreenJolt.
6. No Third-Party Beneficiaries
You agree that, except as otherwise expressly provided in this SJ TOS, there shall be no third-party beneficiaries to this SJ TOS.
7. Governing Law
The ScreenJolt Terms of Service, which apply to your use of the ScreenJolt Network, provide that both any dispute or claim arising out of or in connection with the ScreenJolt Network (including any dispute or claim relating to non-contractual obligations) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or matter arising out of or in connection with the ScreenJolt Network (including any non-contractual disputes or claims).
8. No Right of Survivorship and Non-Transferability
You agree that your ScreenJolt account is non-transferable and any rights to your ScreenJolt account or contents within your account terminate upon your death. Upon receipt of a copy of a death certificate or as otherwise permitted per the terms of this SJ TOS, your account may be terminated and all Content may be permanently deleted. Notwithstanding the foregoing, in the event that You have, subject to the SJ TOS, a) contributed Submission(s) to ScreenJolt b) ScreenJolt has exercised its Option to the Licence Grant Type elected by You, and c) have properly established and agreed a means for receiving payments, then upon receipt of documentation sufficient, in the sole reasonable discretion of ScreenJolt, to establish a beneficiary to your estate that includes rights to your ScreenJolt account, then ScreenJolt will affect the transfer of your ScreenJolt account limited solely to receipt of payments due and specifically excludes any rights to edit existing Submissions, create new Submissions or modify Registration Data.
9. Violations
Please report any violations of the SJ TOS to our Editorial Staff.
